Terms of Use - TDB Notes

1. Acceptance of Terms

By downloading, installing, or using TDB Notes ("the App"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the App.

2. Description of Service

TDB Notes is an audio recording, transcription, and AI-powered analysis application for iOS. The App allows you to:

Record audio notes
Transcribe recordings using on-device (Apple Speech) or cloud-based (OpenAI Whisper, Google Gemini) providers
Analyze transcripts using AI models (Gemini, ChatGPT, Claude)
Organize, search, and manage your notes
Sync data between devices via iCloud

3. Bring Your Own API Key (BYOK)

            Important: TDB Notes operates on a "Bring Your Own Key" model. You are responsible for obtaining and managing your own API keys from third-party providers (OpenAI, Google, Anthropic). We do not provide API access or credits.
        

By using third-party API services through the App, you agree to:

Comply with each provider's terms of service and usage policies
Bear all costs associated with your API usage (charged directly by the provider)
Keep your API keys secure and not share them with others
Accept that API availability, pricing, and features are controlled by the respective providers

4. In-App Purchases

The App offers a free tier with limited functionality and a one-time "TDB Notes Pro" purchase that unlocks all features. Purchases are processed by Apple through the App Store and are subject to Apple's terms and conditions.

The Pro upgrade is a one-time, non-consumable purchase
It is non-refundable except as required by applicable law or Apple's refund policies
The purchase can be restored on any device signed in with the same Apple ID

5. User Responsibilities

You agree to:

Use the App in compliance with all applicable laws and regulations
Not use the App to record conversations without the consent of all parties where required by law
Not use the App for any illegal, harmful, or unauthorized purpose
Be solely responsible for the content you record, transcribe, and analyze
Maintain the security of your device and API keys

6. Intellectual Property

The App, including its design, code, features, and branding, is owned by Thadubiz and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer the App.

You retain full ownership of your audio recordings, transcripts, analysis results, and custom prompts.

7. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

Accuracy of transcriptions or AI-generated analysis
Availability or reliability of third-party API services
Uninterrupted or error-free operation
Fitness for a particular purpose

Transcription and AI analysis results should be reviewed for accuracy. Do not rely on them as the sole record of important information.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Thadubiz shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, including but not limited to:

Loss of data, recordings, or transcripts
Costs incurred from third-party API usage
Inaccurate transcriptions or analysis
Service interruptions from third-party providers

9. Third-Party Services

The App integrates with third-party services that are not operated by us. We are not responsible for the content, privacy policies, or practices of these services:

You may stop using the App at any time by deleting it from your device. We reserve the right to modify, suspend, or discontinue the App at any time without notice.

11. Changes to These Terms

We may update these Terms of Use from time to time. We will notify you of any significant changes by updating the "Last updated" date. Continued use of the App after changes constitutes acceptance of the new terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of France, without regard to conflict of law provisions.
